Signature declaration (“SD”) is a document containing the signature of the person authorized to sign under the trade name on behalf of the merchant. 

SD must be submitted to the Registry of Commerce in the establishment phase of a legal corporation and commercial enterprise. It can be issued in the presence of authorized personnel of Registry of Commerce.

The procedure regarding the preparation and submission of a SD is regulated by a Communique called “Signature of the Memorandum of Association Before the Registry of Commerce”. A recent amendment has been made on the Communique on July 22, 2020. Article 1 of the Amendment regulates procedural details for the preparation of a SD for authorized people who reside in foreign countries. Accordingly, a SD can be issued by the Turkish Consulate or by the competent authorities in accordance with the legislation of the country where the authorized person resides.

The SD which is issued by the foreign competent authority must be attested by the Turkish Consulate or according to the terms of Hague Convention on Abolishing the Requirement of Legalization for Foreign Public Documents (Apostille Convention). This document must be submitted to the Registry of Commerce together with its notarized Turkish translation. 

The amendment on the Communique will ease the procedure for the preparation of a SD for authorized persons who reside in foreign countries.
